ALLFINANZ NOVA Hosted Services Description

The Hosted Services may be supplemented by the Customer through the addition of add-ons as indicated by selection in the Key Terms.

Further information relating to the Hosted Services are set out in the NOVA Service Description and the Insight Service Description documents. This Agreement should be read in conjunction with the NOVA Service Description and the Insight Service Description documents. For the avoidance of doubt, in the event of conflict between this Agreement and the NOVA Service Description or the Insight Service Description documents, the Agreement takes precedence.

Technology Bundle. The technology bundle provided to the Customer as the Predictor Add-on comprises three components: - (i) Predictor Cloud; (ii) Predictor Connect; and (iii) Predictor Vision. 

Professional Services. The Customer can also acquire professional services from the Supplier relating to each pf the aforementioned components subject to an Order Form being executed pursuant to this Agreement. 

Further information relating to the Predictor services are set out in the Predictor Service Description. This Agreement should be read in conjunction with the Predictor Service Description. For the avoidance of doubt, in the event of conflict between this Agreement and the Predictor Service Description, the Agreement takes precedence.

Predictor Transform. Separate to the Predictor technology bundle, the Customer can acquire Predictor Transform professional services from the Supplier to assist the Customer in data extraction from the Underwriting Engine and to define it and transform it into an agreed format to support the Customer in model building subject to an agreement by the Parties regarding the scope and price of such services as shall be set out in an Order Form to be executed pursuant to this Agreement. 

Where the Supplier provides the Predictor Transform service to the Customer, the Supplier shall up on the Customer’s prior written request pseudo-anonymise the Personal Data before transferring it to the Supplier’s data analytics team for processing.

User licenses may be supplemented by the Customer through the addition of add-on licences as indicated by selection in the Key Terms.

Customer shall provide names of approved users to enable Supplier issue access privileges; any updates shall be notified to Supplier who will amend relevant access privilege during normal business hours in Ireland (09:00 to 17:00). 

Supplier shall at all times during the Subscription Term have in place a comprehensive maintained and tested business continuity plan (“BCP”) for the Hosted Services that includes appropriate disaster recovery, business resumption, costs management and communications plans. Such BCP shall comply with ISO 27001, but in no case consist of less than a reasonable standard of care.  Without limiting the foregoing, the Supplier shall provide backup to computer systems every day and store copies of such backups in a secure location and ensure that replacement equipment is available to minimize delays in the delivery of the Hosted Services in the event of a disaster affecting the Supplier. 

Supplier shall notify Customer promptly if Supplier makes any material changes to its BCP. Customer shall have the right to review a high-level overview document of the revised BCP, upon reasonable notice to Supplier.  In no event shall any update to the BCP degrade or otherwise limit Supplier’s obligations set forth in the BCP as of the Effective Date. Supplier shall test its BCP at least annually. The Supplier shall promptly address any major deficiencies noted as a result of such test.

• USA and Canadian Customers: “MIB Checking Service and Insurance Activity Index” integration is available as part of the core ALLFINANZ NOVA service; and
• USA Customers: “Lexis Nexis MVR Service and Milliman Rx Service” integrations are available as part of the core ALLFINANZ NOVA service.
